By accessing, using, or engaging with ProStrat Innovations™ ("ProStrat," "we," "us," or "our"), including any interaction with AXIS™ or related materials, you agree to be bound by these Terms and Conditions.

Nature of ProStrat Operations
ProStrat Innovations™ operates as Authority Infrastructure within the athlete economy.
We do not function as a service provider, advisor, broker, marketplace, or platform.
We structure how authority, incentives, participation, and execution operate across environments.
Engagement with ProStrat reflects participation within a structured governance environment, not the purchase of traditional services.
No Advisory Relationship
Nothing provided by ProStrat constitutes:
- legal advice
- tax advice
- financial or investment advice
- compliance advisory
- regulatory interpretation
No attorney-client, fiduciary, or advisory relationship is created through interaction with ProStrat.
Users are solely responsible for obtaining their own professional advice where required.
No Representation or Transaction Role
ProStrat does not:
- represent athletes, agents, institutions, or organizations
- negotiate or broker deals
- participate in transaction execution
- receive commissions tied to transactions
All decisions, agreements, and outcomes remain the responsibility of the involved parties.
User Responsibilities
By engaging with ProStrat, you agree:
- to provide accurate and complete information
- to operate within applicable laws and regulations
- to maintain responsibility for your own decisions and actions
- to not misrepresent your authority, role, or affiliation
You acknowledge that ProStrat does not assume liability for your participation or outcomes.
Intellectual Property
All content, frameworks, methodologies, structures, and materials associated with ProStrat Innovations™ and AXIS™ are proprietary and protected.
This includes, but is not limited to:
- governance models
- authority structures
- documentation formats
- system architecture
- written materials and outputs
You may not:
- copy
- reproduce
- distribute
- reverse engineer
- or create derivative works without express written consent
Confidentiality and Use of Information
Information shared with ProStrat may be used for:
- evaluation
- classification
- structuring
- and operational purposes
ProStrat maintains internal confidentiality standards but does not guarantee confidentiality unless explicitly agreed in writing.
You are responsible for determining what information you choose to share.
Payment Terms
Where applicable:
- all fees are due as specified at the time of engagement
- payments are non-refundable unless explicitly stated
- no services, participation, or access is confirmed until payment is received
Failure to comply with payment terms may result in termination of access.
No Guarantees or Outcomes
ProStrat does not guarantee:
- specific results
- financial outcomes
- deal completion
- compliance status
- or operational success
All outcomes depend on the actions, decisions, and participation of involved parties.
Limitation of Liability
To the fullest extent permitted by law, ProStrat Innovations™ and AXIS™ shall not be liable for:
- direct or indirect damages
- financial loss
- lost opportunities
- operational disruption
- or consequential damages arising from use of or reliance on ProStrat
Total liability, if any, shall not exceed the amount paid directly to ProStrat for the specific engagement.
Indemnification
You agree to indemnify and hold harmless ProStrat Innovations™, AXIS™, and all affiliated entities from any claims, liabilities, damages, or expenses arising from:
- your actions or omissions
- your use of ProStrat
- your violation of these Terms
Third-Party Interactions
ProStrat may interface with third parties, including institutions, operators, and service providers.
We are not responsible for:
- third-party actions
- agreements
- performance
- or compliance
All third-party interactions remain independent.
Termination
ProStrat reserves the right to:
- deny access
- terminate engagement
- or remove participation
at any time, for any reason, including misalignment with operational standards.
Modifications to Terms
These Terms may be updated at any time.
Updates will be reflected by the "Last Updated" date.
Continued use constitutes acceptance of revised Terms.
Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the State of Texas, without regard to conflict of law principles.
Dispute Resolution
Any disputes arising under these Terms shall be resolved through:
- good faith negotiation first
- followed by binding arbitration in Texas if necessary
Users waive the right to participate in class actions.
Severability

Entire Agreement
